These terms govern your use of the KSystems Group website. Please read them carefully before using the Site.

1. About these terms

This website at ksystemsgroup.com (the “Site”) is owned and operated by KSystems Group (“KSystems Group”, “we”, “us”, or “our”), an enterprise IT services firm providing cloud infrastructure, cybersecurity, artificial intelligence, data, and application modernization services.

These Terms and Conditions govern your access to and use of the Site and the information published on it. By accessing or using the Site you accept these terms. If you do not accept them, please do not use the Site.

2. Relationship to client agreements

The Site is an information resource. It is not an offer to contract, and nothing on it creates a client relationship.

Our professional and managed services are provided exclusively under a signed agreement — typically a Master Services Agreement together with one or more Statements of Work or Service Descriptions (an “Engagement Agreement”). Where these Terms and Conditions conflict with an Engagement Agreement, the Engagement Agreement prevails in respect of the services it covers.

3. Use of the Site

You may view, download, and print material from the Site for your own internal business use. You must not:

  • reproduce, republish, or redistribute Site content for commercial purposes without our written consent;
  • use the Site in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful purpose;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system;
  • introduce malicious code, or interfere with the Site’s operation, availability, or security; or
  • collect data from the Site by automated means without our written consent.

We may suspend or withdraw access to the Site, in whole or in part, without notice.

4. Enquiries and information you submit

When you submit an enquiry through the Site you confirm that the information you provide is accurate and that you are authorized to provide it. Do not send us confidential or sensitive information through a web form. Personal information submitted through the Site is handled in accordance with our Privacy Policy.

An enquiry does not oblige us to provide services, and we may decline any enquiry at our discretion.

5. Intellectual property

All content on the Site — including text, graphics, logos, icons, images, page layout, and software — is owned by KSystems Group or its licensors and is protected by copyright, trademark, and other intellectual property laws. The KSystems Group name and logo are our trademarks and may not be used without written permission.

Ownership of intellectual property created during a client engagement is governed by the relevant Engagement Agreement and not by these terms.

Third-party names and marks referenced on the Site — including Microsoft, Azure, Microsoft 365, Dynamics 365, Power BI, Microsoft Fabric, Microsoft Purview, and Windows 365 — are the property of their respective owners and are used for identification only.

6. Third-party products and licensing

Our services frequently involve third-party products, most commonly Microsoft cloud services. Those products are licensed to you by their vendor under that vendor’s own terms, and your use of them is subject to those terms. We do not extend any warranty on a vendor’s behalf and are not responsible for changes a vendor makes to its products, pricing, or terms.

7. Confidentiality

We treat non-public information disclosed to us in the course of an engagement as confidential, and we expect the same in return. The specific confidentiality obligations that apply to an engagement — including their duration and permitted exceptions — are set out in the relevant Engagement Agreement.

8. Data protection and security

Where we process personal information on a client’s behalf, we do so on that client’s documented instructions and under the data-protection terms of the Engagement Agreement. Our handling of information collected through the Site is described in our Privacy Policy.

You are responsible for maintaining appropriate backups of your own data and for the security of credentials issued to your personnel.

9. No professional advice

Content on the Site — including articles, insights, service descriptions, and reference architectures — is provided for general information. It is not technical, legal, financial, or regulatory advice, and it does not account for your specific circumstances. You should obtain advice appropriate to your own situation before acting on anything published here.

10. Availability and accuracy

We aim to keep the Site available and its content current, but we do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the information on it is complete or up to date. Content may be changed or withdrawn at any time without notice.

11. Disclaimer of warranties

The Site and its content are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. Warranties relating to our services are set out solely in the applicable Engagement Agreement.

12. Limitation of liability

To the fullest extent permitted by law, KSystems Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, goodwill, or anticipated savings, arising out of or in connection with your use of the Site — whether in contract, tort, or otherwise, and even if we have been advised of the possibility of such loss.

Our liability in connection with the services we provide is limited as set out in the applicable Engagement Agreement.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Indemnity

You agree to indemnify KSystems Group against any claim, loss, or expense arising from your breach of these Terms and Conditions or your unlawful use of the Site.

14. Links to other sites

The Site may link to websites operated by others. Those links are provided for convenience and do not imply endorsement. We have no control over the content of linked sites and accept no responsibility for them or for any loss arising from your use of them.

15. Governing law and jurisdiction

These Terms and Conditions, and any dispute arising out of or in connection with them or the Site, are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in it. You and KSystems Group submit to the exclusive jurisdiction of the courts of Alberta, Canada.

16. Changes to these terms

We may revise these Terms and Conditions at any time. The revised version takes effect when published on this page and the effective date above will be updated. Your continued use of the Site after publication constitutes acceptance of the revised terms.

17. Severability and entire agreement

If any provision of these terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary and the remaining provisions shall continue in full force. These terms, together with our Privacy Policy, constitute the entire agreement between you and KSystems Group in relation to your use of the Site.
